JASEC Japan Society of E-Commerce Terms of Use for Video Streaming Services


These terms of use (hereinafter, the "Terms") were last updated on 2022/07/04.


These terms are rules to make the Society's platform and services safe and secure for both the Society, instructors, and students, and apply to all activities of users in the video learning service (hereinafter, the "Services") provided by the Society.


The Society provides detailed information about the processing of personal data of the Society's students and instructors in its Privacy Policy. Users also waive their rights to participate in class actions in accordance with the provisions of the "Dispute Resolution" section.


1. Account


Most activities on the Society's platform require an account. Please keep your password safe, as you are responsible for all activity related to your account. If you suspect that someone else is using your account, please contact the Society's support team.


Most activities on the Society's platform require an account, including accessing content or submitting content for publication. To set up and maintain your account, you must provide and continue to provide accurate and complete information, including a valid email address. You are solely responsible for your account and all activities that occur under it, including any harm or damage (to the Society or others) caused by someone else using your account without your permission. Therefore, you must treat your password with care. You are prohibited from transferring your account to anyone else or using someone else's account. If you request access to any account from the Society, the Society will not grant you access to that account unless you provide the information required by the Society to prove that you are the account owner. In the event of a user's death, that user's account will be closed.


You may not share your account login credentials with others. You are responsible for all events that occur under your account. In addition, the Society will not interfere with disputes between students and instructors regarding the sharing of account login information. If you learn that someone else may be using your account without your permission (or if you suspect any other security breach), please contact the Society's support team immediately. In that case, the Society may request certain information from you to verify that you are in fact the owner of the account.


You may cancel your account at any time by following the procedure described here. Please refer to the Society's Privacy Policy for information on how your data will be handled after your account is canceled.


2. Content Registration and Learning Expires


Generally, the Institute grants unlimited licenses to students who enroll in courses or other content. However, if the Institute decides or is required to disable access to content for legal or policy reasons, such as if there is a copyright infringement claim against a course or other content that you have enrolled in, the Institute reserves the right to revoke your license to access and use the content at any time and at any time.


Instructors may not directly license content to students. Any such direct license is invalid and a violation of these Terms.


3. Payment, Credits and Refunds


You agree to make payment using a valid payment method.


Instructors will receive compensation as determined by the Society in a manner notified by email or other means.


3.1 Prices


The Society occasionally runs promotions and sales on content, during which some content will be offered at a discounted price for a limited period of time. The price applied to such content will be the price at the time of completion of the purchase of such content by the user (at the time of payment). In addition, when the Society runs a promotion only for new users, the price of a particular content displayed to unregistered users or users who are not logged in may differ from the price presented to users who are logged in to their account.


3.2 Payment


You agree to pay the fees for the content you purchase. The Society may update your payment method using information provided by the Society's payment service provider. For more information, please see the Society's Privacy Policy.


3.3 Refunds and Credits


The Service does not provide any refunds to users. However, you may be able to get a refund if the content you purchased is discontinued before you can view it due to legal or policy reasons. To request a refund, please follow the procedures provided by the Society.


If the Society determines that you are abusing the Society's refund policy (e.g., you have already viewed most of the content you wish to refund or have previously received a refund for the content), the Society reserves the right, at its discretion, to refuse your refund, limit your other future refunds, ban your account, and restrict any future use of the Service. If the Society bans your account or disables your access to the content due to your violation of these Terms, you will not be eligible for a refund.


4. Rules of Content and Conduct


You may only use the Society for lawful purposes. You are responsible for all content you post on the Society platform. You must ensure that reviews, questions, posts, and other content you upload comply with the Society's terms and conditions and the law, and respect the intellectual property rights of others. In the event of repeated or serious violations, we may ban your account. If you believe that your copyright has been infringed by others on the Society platform, please contact us.


You may not access or use the Services or create an account for any illegal purpose. You must comply with applicable local or national laws in your country when using the Services or engaging in any activities on the Society platform. It is your sole responsibility to know and comply with such laws that apply to you.


If the Society is notified that any content of users, including students and instructors, violates the law or the rights of others (e.g., if it is proven to infringe on the intellectual property or image rights of others, or if it is related to illegal activities), if the Society finds that the content or behavior of users violates the Society's Terms of Use, etc., or if the Society determines that the content or behavior of users is illegal, inappropriate, or offensive (e.g., if the user impersonates another person), the Society may remove the content of users from the Society's platform. The Society complies with copyright law. For more information, please see the Society's Intellectual Property Policy.


The Society has discretion to enforce these terms. The Society may limit or terminate your permission to use the Society's platform and services or ban your account at any time, for any reason, with or without notice, if you violate these Terms of Use, if you fail to pay fees when due, if there is a fraudulent chargeback, if there is a request from law enforcement or government agencies, if there is an extended period of inactivity, if there are unexpected technical issues, if the Society suspects that you are engaged in fraudulent or illegal activity, or for any other reason in the Society's sole discretion. Upon such termination, the Society may delete your account and content and take measures to prevent you from further accessing the Society's platform or using the Society's services. Your content may remain available on the platform even after your account is terminated or suspended. You agree that the Society shall not be liable to you or any third party if the Society terminates your account, deletes your content, or blocks your access to the Society's platform and services. If a user has published content that infringes your copyright or trademark rights, please contact us. Our terms and conditions require our instructors to comply with the law and respect the intellectual property rights of others. Please refer to our Intellectual Property Policy for more information on how to file a copyright or trademark infringement claim.


5. Our rights in content you post


You retain ownership of the content you post on the Society platform, including your courses. We are permitted to share your content in any medium and with any audience, including promoting it through advertising on other websites.


The content you post as a student or instructor, including courses, is yours. By posting courses and other content, you are allowing us to reuse and share it. However, you do not lose any ownership rights in your content.


When you post content, comments, questions, reviews, and provide us with ideas or suggestions for new features or improvements, you allow us to use that content, share it with anyone, distribute and promote it on any platform or in any media, and modify or edit it as we see fit.


In legal terms, by submitting or posting content on or through the Society Platform, you grant the Society a worldwide, non-exclusive, royalty-free (with the right to sublicense) right to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content (including your name and likeness) in any media or distribution method (whether now existing or hereafter developed), including making your content available to other companies, organizations, or individuals who partner with the Society for the purpose of syndicating, broadcasting, distributing, or publishing your content in other media, and to use your content for marketing purposes. You also waive any privacy rights, publicity rights, or other rights of a similar nature that may be applicable to all such users, to the extent permitted by applicable law. You represent and warrant that you have all the right, power, and authority to authorize the Society to use any content you submit. You also agree that with respect to all such uses of your Content, no compensation will be paid to you.


6. Use of the Service at Your Own Risk


Anyone can use the Service to create and publish content. We also allow instructors and students to communicate for the purposes of teaching and learning. As with any platform where content can be posted and interacted with, issues may arise with the Service. Therefore, use of the Service is at your own risk.


Our platform model does not review or edit content from a legal perspective, nor is we in a position to determine its legality. Because we have no editorial control over the content provided on the Platform, we make no guarantees, in any form, regarding the reliability, validity, accuracy, or veracity of such content. If you access content, you should rely on the information provided by the instructor and do so at your own risk.


By using the Service, you may encounter content that you may find offensive, indecent, or objectionable. To the extent permitted by applicable law, we are not responsible for protecting you from such content, nor are we responsible for your access to or enrollment in courses or other content. This also applies to any content related to health, wellness, and physical activity. You acknowledge that this type of content inherently carries inherent risks and dangers due to its vigorous nature. By registering for such content, you are choosing to assume such risks (including the risk of illness, injury, disability, or death). You are solely responsible for the choices you make before, during, and after accessing the content.


When you interact directly with students or instructors, you should be careful about the types of personal information you share. Although there are limitations on the types of information instructors can request from students, we do not control how students and instructors use information obtained from other users on our platform. To ensure your own safety, you should not share your email address or other personal information.


We do not employ or hire instructors, and we are not responsible or liable for any interactions between instructors and students. We are not liable for any disputes, claims, losses, injuries, or damages of any kind arising from or related to the actions of instructors or students.


When using our services, you may be presented with links to other websites that are not owned or controlled by our Society. We are not responsible for the content or any other aspect of such third-party sites, including the collection of user information by such third parties. You should also read the terms of use and privacy policies of such third parties.


7. Our Rights


We own our platform and services. This includes our website, current or future applications and services, as well as our logos, APIs, code and content created by our employees. You may not tamper with them or use them without permission.


All right, title and interest in our platform and services are and will remain the exclusive property of our company and its licensors. This includes our website, existing or future applications, our APIs, databases, and content submitted or provided by our employees or partners through our services (but excluding content provided by instructors and students). Our platform and services are protected by copyright, trademark and other laws, as well as the applicable laws of other countries. Nothing grants you any right to use our name or our trademarks, logos, domain names and other distinctive brand features. Any feedback, comments, or suggestions you provide about the Society or the Services are entirely voluntary, and the Society is free to use such feedback, comments, or suggestions as it deems appropriate and without any obligation to you.


When you access and use the Society's platform and services, you must not:


Access, tamper with, or use non-public areas of the Society's platform (including content storage), the Society's computer systems, or the technical delivery systems of the Society's service providers.


Try to disable, interfere with, or circumvent any security-related features of the platform, or probe, scan, or test the vulnerability of any of the Society's systems.


Copy, modify, create a derivative work of, reverse engineer, disassemble, or otherwise attempt to discover the source code of the Society's platform or services, or any content on the Society's platform or services.


Access or search, or attempt to access or search, the Society Platform by any means (automated or otherwise) other than the currently available search functionality provided through the Society's website, mobile applications, or APIs (and in accordance with the Terms of Use for those APIs). You may not scrape, spider, use a robot, or use any other automated means to access the Services.


Use the Services in any way to send altered, fraudulent, or false source-identifying information (such as sending emails that impersonate the Society). Interfere with or disrupt (or attempt to do so) the access of any user, host, or network, including, without limitation, by submitting a virus, overloading, flooding, spamming, or mail bombing the Platform or Services, or otherwise interfering with or creating an undue burden on the Services.


8. Other Legal Terms


These Terms, like any other contract, contain some boring but important legal terms to protect us from the myriad of events that may arise and to clarify the legal relationship between us and you.


8.1 Legally Binding Agreements


By registering for, accessing or using the Society Services, you agree to be legally bound by a contract with the Society. If you do not agree to these Terms, please refrain from registering for, accessing or otherwise using the Society Services.


If you are an instructor who agrees to these Terms and is using the Society Services on behalf of a company, organization, government or other legal entity, you represent and warrant that you are authorized to do so.


These Terms (including any contracts and policies linked from these Terms) constitute the entire agreement between you and the Society.


If any provision of these Terms is found to be invalid or unenforceable pursuant to applicable law, the provision will be deemed replaced with a valid and enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms will remain in full force and effect.


If the Society delays or fails to enforce its rights in any instance, that fact will not constitute a waiver of the Society's rights under these Terms, and the Society may decide to enforce such rights in the future. Even if the Society waives its rights in a particular case, that fact does not mean that the Society waives its rights generally or in the future.


The following sections will survive the expiration or termination of these Terms: Section 2 (Registration of Content and No Time Limit for Learning), Section 5 (Rights of the Society Regarding Content Posted by Users), Section 6 (Use of the Service at User's Risk), Section 7 (Rights of the Society), Section 8.5 (Disclaimer for Flat-rate Plans), Section 9 (Other Legal Terms), and Section 10 (Dispute Resolution)


8.2 Disclaimer


The Society platform may not work properly due to planned maintenance or other site outages. One of our instructors may make misleading statements in the content. We may also encounter security issues. These are just a few examples. You agree that in any of these cases where things do not go properly, you will not have the right to make any claims against us. In legally more detailed terms, the Service and its contents are provided "as is" and "as available". We (and its affiliated organizations, companies, etc.) make no representations or warranties about the suitability, reliability, availability, timeliness, security, freedom from defects, or accuracy of the Service and its contents, and expressly disclaim all warranties and conditions (express or implied), including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We (and its affiliated organizations, companies, etc.) do not guarantee that you will obtain any particular results by using the Service. Your use of the Service (including any content) is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties. In such cases, some of the above exclusions may not apply to you.


The Society may decide to discontinue providing some features of the Service at any time for any reason. Under no circumstances shall the Society or its affiliates, suppliers, partners, or agents be liable for any damages resulting from such discontinuation or the unavailability of such features.


The Society is not liable for any delay or failure of the Society to perform any of the Services caused by causes beyond the Society's reasonable control, such as war, hostilities, or acts of sabotage, natural disasters, electrical, internet, or telecommunications failures, or government restrictions.


8.3 Limitation of Liability


There are inherent risks in using the Society's services. For example, there is a risk of injury when you access health and wellness content (such as yoga). You acknowledge such risks and agree that you will not have the right to seek damages from the Society for any loss or damage suffered as a result of using the Society's platform and services. In legally more specific terms, to the extent permitted by law, the Society (and its affiliated organizations and companies, etc.) shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether such damages arise in contract, warranty, tort, product liability, or otherwise, even if the Society has been advised of the possibility of such damages. The Society's (and its affiliated organizations and companies, etc.) liability to you or any third party in any circumstances will be limited to the amount paid by you in the 12 months prior to the event giving rise to your claim.


8.4 Indemnification


If a user engages in any act that involves the Society in legal trouble, the Society may exercise legal claims against the user. The user agrees to indemnify, defend (if requested by the Society), and hold harmless the Society, its affiliated organizations, companies, etc., and any person belonging to them from any third party claims, demands, losses, damages, or expenses (including reasonable attorneys' fees) arising from (a) the content posted or transmitted by the user, (b) the user's use of the Service, (c) the user's violation of these Terms, or (d) the user's violation of any third party rights. The user's indemnification obligation shall survive the termination of these Terms and the use of the Service.


8.5 Governing Law and Jurisdiction


When these Terms refer to "Japan E-Commerce Association," it refers to the Association's entity with which you are contracting. If you are a student, the entity with which you are contracting and the governing law will generally be determined based on your location.


8.6 Legal Actions and Notices


No legal action, regardless of form, arising out of or related to these Terms may be brought by either party more than one year after the cause of action arose, unless such limitation is not allowed by law.


All notices and other communications given pursuant to these Terms will be in writing and sent by registered or certified mail with return receipt requested, or by email.


8.7 Relationship between you and the Society


You and the Society agree that no joint venture, partnership, employment, contractor or agency relationship exists between us.


8.8 No Assignment


You may not transfer or assign these Terms (or the rights and licenses granted hereunder). For example, if you register an account as an employee of a company, you may not assign your account to another employee. The Society may assign these Terms (or the rights and licenses granted hereunder) to another company or individual without restriction. Nothing in these Terms confers any right, benefit or remedy on any third-party individual or entity. You agree that your account is non-transferable and that all rights granted to your account and other rights granted hereunder will terminate upon your death.


9. Dispute Resolution


If a dispute arises, our support team will help you resolve the issue. If the issue remains unresolved, you may file a lawsuit in court or in binding arbitration. You may not participate in class actions against us.


This Dispute Resolution section can resolve most disputes, so please contact our support team first before filing a formal lawsuit.


10. Updates to these Terms


The Society may update these Terms from time to time to clarify the Society's policies or to reflect new or different methods (such as when new features are added). The Society reserves the right to modify or revise these Terms at any time in its sole discretion. If we make any material revisions, we will notify you in a clear manner, such as by sending a notice to the email address specified in your account or by notifying you through the Society's services. The revisions will be effective on the date they are posted, unless otherwise stated.


If you continue to use the Society's services after the revisions have taken effect, you will be deemed to have agreed to the revisions. The revised Terms of Use will take precedence over all previous Terms of Use.
